In the matter of the Companies Act 1955, and in the matter of Woodcorp Developments Ltd.:

Notice is hereby given that an order of the High Court of New Zealand, dated the 30th day of April 1991, confirming the reduction of the share capital of the above-named company and the minute approved by the Court showing with respect to the capital of the company as altered the several particulars required by the above-mentioned Act was registered by the Registrar of Companies on the 6th day of May 1990. The form of the minute as approved is as follows:

"The issued share capital of Woodcorp Developments Ltd. is $10,002.00 divided into 10 ‘ordinary A’ shares and 10 ‘ordinary B’ shares of $0.11 each and 999.980 non-cumulative specified redeemable preference shares of $0.01 each having been reduced from $1,000,000.00 divided into 10 ‘ordinary A’ shares and 10 ‘ordinary B’ shares of $1.00 each and 999,980 non-cumulative specified redeemable preference shares of $1.00 each."
