Pursuant to Section 346 (1) (a) of the Companies Act 1955

Foodstuffs (Auckland) Limited, a duly incorporated company having its registered office at Auckland, hereby gives notice that on the 8th day of July 1991, it appointed Lyall Brown, chartered accountant of Auckland, as receiver and manager of the property of M M & L Watson Limited under the powers contained in a debenture dated the 24th day of April 1991, which property consists of all the undertaking, goodwill and assets relating to the operation of the grocery business carried on by the said M M & L Watson Limited.

Pursuant to Section 346 (1) (a) of the Companies Act 1955

DFC Financial Services Limited (under statutory management), a duly incorporated company having its registered office at Wellington, with reference to Southland Rental Cars Limited, hereby gives notice that on the 11th day of July 1991, it appointed Roger Neil Wilson and Michael Patrick Fenton, whose office is at the firm of KPMG Peat Marwick, corner of Spey and Deveron Streets, Invercargill, to be receivers and managers of all the undertakings, property and assets of this company charged by a certain debenture dated the 22nd day of October 1987 and given by this company to DFC Financial Services Limited.

The receivers and managers have been appointed in respect of all the company’s undertaking, and all its property and assets, wheresoever and wheresover, situate both present and future, including its uncalled capital and called but unpaid capital.

Hong Kong Pacific Limited

Notice of Appointment of Receiver and Manager

Whereas:

(a) Hong Kong Pacific Limited (“the company”) executed a debenture dated 21 March 1988, to secure an advance of $700,000.00 (“the debenture”) in favour of Action Finance Limited (“Action”).

(b) The debenture was registered with the Registrar of Companies in Christchurch on 11 April 1988.

(c) On the 26th day of October 1988, Action appointed David Charles Lidgitt of 224 Cashel Street, Christchurch, solicitor, as receiver and manager of all the property and undertaking of the company.

(d) By deed of assignment of credit contracts dated 30 September 1988, between Action and the Prudential Building and Investment Society of Canterbury (now in liquidation) (“Prudential”) Action assigned to Prudential... all that the legal, equitable and beneficial estate or interest of the assignor... in the ‘credit contract’, that is, the debenture.

(e) Pursuant to clause 38 of the debenture, Prudential may remove any receiver, or receiver and manager and appoint another in his place.

(f) Prudential by notice served on David Charles Lidgitt on the 5th day of July 1991 removed David Charles Lidgitt from his position as receiver and manager of the company.

(g) The company is continuing to default under the debenture and it is therefore desired to appoint K. M. Thomas to be receiver and manager of the company.

Now therefore:

Prudential being the beneficial owner of the debenture hereby appoints Kevin Michael Thomas, partner in Coopers & Lybrand, Chartered Accountants, Fitteneigh Floor, Robert Jones House, 763 Colombo Street (P.O. Box 13-244), Christchurch, to be receiver and manager of the company, pursuant to clause 38 of the debenture.

The receiver shall hold office with the powers and subject to the provisions set out in the conditions endorsed on the said debenture.
