Pursuant to Section 18 (5) of the Companies Act 1955

A general meeting of the above-named company will be held at the First Floor, Block B, Clendon Town Centre, Manurewa West on Friday, the 22nd day of June 1990 at 9 a.m. to propose as a special resolution the following resolution:

That the memorandum of association of the company be altered by omitting the whole of clause IV thereof containing the provisions with respect to the powers of the company and that the company shall have the rights, powers and privileges of a natural person (including the powers referred to in section 15A (1) (a) to (h) of the Companies Act 1955).

Notice of Dissolution of Partnership

Notice is hereby given that the partnership between Richard Lockhart Watson, Gavin James Cracroft Ferguson, John Robert Wiltshire, Margaret Anne Wellwood, Dugald Guy Matheson and Jacqueline Antoinette Christina Gray, carrying on practice as barristers and solicitors at 206 Queen Street East, Hastings, under the name of Gifford Devine & Partners, has been dissolved as from the 31st day of May 1990 so far as concerns the said Richard Lockhart Watson, who retires from the said firm. The remaining partners will continue to practise under the same name at the same address.

Take notice that Countrywide Banking Corporation Ltd. as plaintiff has made an application to the Auckland High Court for summary judgment to be entered against you pursuant to an agreement dated the 21st day of December 1988. The plaintiff claims against you the sum of $915,907.12 together with interest and costs.

The plaintiff has obtained an order for substituted service.

The application against you will be heard at the Auckland High Court on Thursday, the 26th day of July 1990 at 10 a.m.

Notice is hereby given that an extraordinary general meeting of shareholders of Vacation Inns Corporation Ltd., will be held at Princes Court, 2 Princes Street, Auckland at 2 p.m. on Friday, the 6th day of July 1990 for the purpose of considering and, if thought fit, passing as a special resolution the following:

“That the provisions of the memorandum of association with respect to the objects and powers of the company as contained in clause III of the memorandum are omitted and that the company have the rights, powers and privileges of a natural person (including the powers referred to in subsection 1 (a) to (h) of section 15A of the Companies Act 1955) except in so far as the exercise of those rights, powers and privileges may be restricted or prohibited.”
