Notice of Appointment of Receiver and Manager

Pursuant to Section 346 (1) of the Companies Act 1955

Foodstuffs (Auckland) Ltd., a duly incorporated company having its registered office at Auckland, hereby gives notice that on the 12th day of October 1990, it appointed Lyall Walton Brown of Auckland, chartered accountant, as receiver and manager of the property of N & K Ducksbury Ltd. under the powers contained in a debenture dated the 21st day of November 1983, which property consists of all the undertaking, goodwill and assets relating to the operation of the grocery business carried on by the said N & K Ducksbury Ltd.

S H Lock (NZ) Ltd., S H Lock & Co Ltd., S H Lock (Australia) Ltd. and S H Lock (Hong Kong) Ltd., being the holder of a debenture in their favour bearing date the 23rd day of May 1989 and registered at the companies office at Auckland on the 29th day of May 1989, issued by Carborundum Abrasives Ltd. (in receivership) ("the company") hereby gives notice that on the 12th day of October 1990, under the powers contained in the said debenture, it appointed Keith Raymond Smith and Deborah Jane Riordan, both of Auckland, chartered accountants, jointly and severally, as receivers and managers of all the undertaking property and assets of the company.

The office of the said receivers and managers is at the offices of Spicer Oppenheim.

Southland Development Corporation Ltd., a duly incorporated company having its registered office at Invercargill, hereby gives notice that on the 16th day of October 1990, it appointed Barry Charles Thomas of McCulloch & Partners, Chartered Accountants, Queenstown, to act as receiver and manager of the property of the above-named company under the powers contained in an instrument dated the 29th day of January 1989, being a debenture.

The receivers and managers have been appointed in respect of all the company's undertakings and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.

The property in respect of which the receivers and managers have been appointed comprises all the undertaking and property of Matakana Forests Ltd.
