Notice of Special Resolution (Inter Alia) Altering Memorandum of Association

Notice is hereby given that it is proposed that the members of Selwyn Traders Ltd. pass as a special resolution by way of an entry in the minute book of the company pursuant to section 362 of the Companies Act 1955, the relevant resolutions being as follows:

1. That the memorandum of association of the company be altered as follows:

   (a) By deleting clause 4 thereof in its entirety and renumbering the following clauses accordingly and that the company shall henceforth have the rights, powers and privileges of a natural person including the powers referred to in section 15A (1) (a) to (h) of the Companies Act 1955; and

   (b) Deletion of the section headed “Limited Liability” and inserting the following clauses (4) and (5) respectively:

   "(4) Liability. . . The liability of the members is limited.
   
   (5) Capital. The share capital of the company is to be twelve thousand dollars ($12,000) divided into 6000 shares of $2 each."
