Notice is hereby given that on the 10th day of July 1990, National Bank of New Zealand Ltd., appointed Messrs Rodney Gane Pardington and Russell Stuart Hay, both chartered accountants of Auckland, as receivers and managers of the property of Earlybird Fashions (1984) Ltd., under the powers contained in a mortgage debenture dated the 24th day of November 1989 given by that company.

In the matter of Peter Johnson Motors Ltd., a duly incorporated company having its registered office at the Sixth Floor, Westpac House, Victoria Street, Hamilton (“the company”); and

In the matter of debentures issued by the company in favour of Australian Guarantee Corporation (N.Z.) Ltd., a duly incorporated company having its registered office at Auckland and carrying on business as a financier (“the debentureholder”):

Whereas:

The company issued debentures dated 1 October 1985, 26 May 1987 and 27 June 1988 (“the debentures”) in favour of the debentureholder (a copy of which was registered with the Registrar of Companies at Hamilton on 10 October 1985 and 4 June 1987 and 29 June 1988 respectively) to secure repayment of the principal sum, interest and all other moneys secured by the debentures.

It was a term of the debentures that the principal sum, interest and all other moneys secured by the debentures shall become repayable and the security thereby created shall become enforceable immediately the company made default in payment of any moneys lawfully demanded by the debentureholder.

Now therefore in pursuance of the powers conferred by the debentures, the debentureholder hereby appoints Kim Scott Thompson and Bryan William Cheshire, chartered accountants, both of Hamilton, to be jointly and severally as receivers and managers of the property charged by the debentures with all and each of the powers conferred upon a receiver and manager under the provisions of the debentures.
