It is hereby certified pursuant to section 62 of the Partnership Act 1908 that:

  1. The Name of the Partnership is Bade Draper & Associates Limited and Company.

  2. The Names, Places of Residence, Occupations and the Original Capital Contributions of the General and Special Partners are set out in the Schedule hereto.

  3. The Business of the Partnership is as follows:

    (a) Carrying on at any place or places either in New Zealand or elsewhere all or any of the businesses relating to computer systems, promotion or development of such systems, and programmes, and the hardware and software and technical and theoretical knowledge relating thereto;

    (b) The purchasing, leasing or hiring or by any other means acquiring any real or personal property or any rights, licenses, privileges or easements which the partnership may think necessary or convenient for the purposes of its business;

    (c) The managing, maintaining, developing, exchanging, mortgaging, leasing, selling or otherwise dealing with or disposing of all or any part of the property and right of the partnership.

  4. Dissolution of Partnership: All of the partners as set out in the Schedule hereto and who have signed this certificate are desirous that the partnership be dissolved and therefore the partnership will be dissolved as from the time this certificate is registered in the High Court of New Zealand, Auckland Registry and published in the Commercial Edition of the New Zealand Gazette.
