altered by deleting clause 3 thereof in its entirety and substituting therefor the following:

"3.1 Subject in all things to the provisions of clause 3.2 succeeding, the company shall have the rights, powers and privileges of a natural person including (without limiting the generality of the foregoing) the powers referred to in subsections (a) to (h) of section 15a (1) of the Companies Act 1955.

3.2 Notwithstanding the provisions of clause 3.1 preceding, the sole and only rights, powers and privileges of the company, for so long as the company may have any obligations (of whatsoever nature and whether contingent or actual or otherwise) to any one or more of Westpac Merchant Finance Ltd., Westpac Finance Ltd., and Westpac Securities Ltd. (together "Westpac"), and until such time as Westpac may, in its entire discretion, enforce or attempt to enforce any guarantee and/or security or securities which it hold from the company in respect of any of the said obligations, shall be:

3.2.1 to continue to own and hold the land comprised and described in certificate of title 37B/827–9 (both inclusive) (North Auckland Registry) ("the land");

3.2.2 to continue to lease, manage and administer (in each case only with the prior written consent of Westpac) the land and each part thereof; and

3.2.3 to continue to fulfill and comply with all its said obligations to Westpac;

it being the express and declared intent that any thing done by the company which is not expressly provided for in this clause 3.2 shall be invalid, void and unenforceable and shall be ultra vires the company."

Ltd., Merchant Bankers), as joint receivers and managers of all the property and undertaking of Pallant Holdings Ltd., a duly incorporated company having its registered office at Auckland pursuant to the power contained in the said debenture.

(the "mortgagee"), hereby gives notice that on the 6th day of April 1989 it appointed John Anthony Waller of Auckland, chartered accountant as receiver of all the income of the land comprised in certificates of title 782/98 and 782/97 (North Auckland Registry), being land charged by a memoranda of mortgages dated the 12th day of May 1987 and the 5th day of February 1987 given by Taspac Hobson Street Ltd. in favour of the mortgagee.
