In the matter of Data Enterprises Ltd., a duly incorporated company having its registered office at Tauranga and in the matter of a debenture issued by Data Enterprises Ltd. (hereinafter called “the company”) in favour of “the Bank of New Zealand” (hereinafter called “the bank”):

Whereas the company issued a debenture dated the 3rd day of March 1988, in favour of the bank for securing advances and other banking accommodation made or to be made to the company by the bank together with interest and other moneys as specified in the said debenture.

And whereas the moneys secured by the said debenture are payable upon demand.

And whereas a demand in writing for payment of the moneys secured by and remaining unpaid to the bank under the said debenture has been duly made on the company in accordance with the provisions of the said debenture.

And whereas the company has not complied with the said demand.

Now therefore in pursuance of the powers conferred by the said debenture the bank doth hereby appoint Thomas Haines Wilson and Barrie Miles Owen, both of Tauranga, chartered accountants, jointly and severally to be receivers and managers of the property charged by the said debenture with all and every the powers conferred upon receivers and managers under the provisions of the said debenture and the bank doth hereby specify that the receivers and managers shall be entitled to receive reasonable remuneration for their services on the basis of an hourly charge for work done by the receivers and managers or any partner or employee of the receivers and managers at rates appropriate to such persons carrying out the work.
