22nd day of December 1981 and registered in the High Court at New Zealand (Auckland Registry) under SP. No. 31/1981.

  1. The Names, Addresses and Capital Contributions of the General Partner and the Special Partners: As set out in the Schedule hereto.

  2. Special Partnership Business: To establish and carry on in New Zealand and elsewhere the business of owners, lessors, breeders, farmers and dealers of or in horse and all other classes of livestock to breed, train and race horses and to undertake or carry on any other activity or business ancillary or incidental thereto.

  3. Principal Place of Business: The principal place from which the business of the special partnership shall be conducted is the registered office of the general partner situated at 151 Queen Street, Auckland 1.

  4. Duration of the Partnership: The special partnership commenced upon registration of a certificate pursuant to section 54 of the Act at the High Court of New Zealand (Auckland Registry) on or about the 22nd day of December 1981 under SP. No. 31/1981. This certificate lodged pursuant to section 58 of the Act certifies that the term of the partnership is to be renewed and accordingly shall terminate upon the sooner to occur of:

(i) The registration at the High Court at Auckland of a certificate of dissolution pursuant to section 62 of the Act; or

(ii) The expiration of the period of 7 years from the date of registration of this certificate provided however that if the duration of the partnership shall have been extended for a further term in accordance with sections 57 and 58 of the Act, then upon the expiration of such further term.

Notice of Appointment of Receivers

Pursuant to Section 346 (1) of the Companies Act 1955

The Bank of New Zealand with reference to Dye Industries Consolidated Ltd., hereby gives notice that on the 13th day of February 1989 the bank appointed Gerald Stanley Rea and Peter Drummond Ross, both chartered accountants, whose offices are at the offices of Peat Marwick, Chartered Accountants, 41 Shortland Street, Auckland, jointly and severally as receivers of the property of this company under the powers contained in an instrument dated the 21st day of December 1983. The receivers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.

Pursuant to Section 346 (1) of the Companies Act 1955

The Bank of New Zealand with reference to Hobart Food Equipment Ltd., hereby gives notice that on the 22nd day of February 1989, the bank appointed Frederick Nelson Watson and Graeme George McDonald, both chartered accountants, whose offices are at the offices of KPMG Peat Marwick, Chartered Accountants, National Mutual Centre, Shortland Street, Auckland, jointly and severally as receivers and managers of the property of this company under the powers contained in an instrument dated the 22nd day of December 1986. The receivers and managers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.
