In the matter of section 346 (1) of the Companies Act 1955, and in the matter of a debenture issued by Davies Developments Ltd. (hereinafter called “the company”) in favour of Marac Finance Ltd., Marac Financial Services Ltd. and Marac Corporation Ltd. (hereinafter called “the transferor”) and the United Building Society (hereinafter called “the debenture holder”):

Whereas:

A. The company issued a debenture bearing date the 25th day of July 1984 (hereinafter called “the debenture”) in favour of the transferor to secure advances made by the transferor to the company and interest thereon and all other moneys mentioned therein owing by the company to the transferor.

B. By agreement dated the 29th day of June 1989, the transferor agreed to transfer to the debenture holder all rights, benefits and interests under the debenture.

C. The total moneys secured by the debenture have become immediate due and payable in terms thereof.

D. The said moneys have not been paid and the company is now in default under the debenture.

Now therefore in pursuance of the powers conferred by the debenture the debenture holder hereby appoint Thomas Haines Wilson and Barrie Miles Owen, both of Tauranga, chartered accountants, jointly to be the receivers and managers of the property charged by the debenture with all and each of the powers conferred upon a receiver and managers under the provisions of the debenture and by law.
