Pursuant to Section 346 (1) of the Companies Act 1955

Westpac Banking Corporation hereby give notice that on the 27th day of September 1989, it appointed Grahame Jeffrey Woodd and Donald Raymond Rassell, chartered accountants, whose office is care of Ernst and Young, Ernst and Whinney House, 711 Victoria Street, Hamilton (P.O. Box 9159) as receivers and managers of all the assets of the above company under the power contained in an instrument dated the 14th day of April 1980, being a debenture from Commercial Wheels (Hamilton) Ltd. to Westpac Banking Corporation.

Notice of Appointment of Receiver

ANZ Banking Group (New Zealand) Ltd., being the registered holder of a debenture dated the 1st day of May 1985, issued by the above-named company does hereby appoint jointly Messrs Bruce McCallum and Peter George Steel of Price Waterhouse to be receivers and managers of the property charged by the said debenture with all the powers conferred by the said debenture on receivers and managers appointed thereunder and subject to the terms and conditions of the said debenture relating to the appointment of receivers and managers thereunder and such remuneration for their services as receivers being an amount calculated according to the rate of charges properly payable to receivers under debenture deeds by chartered accountants, such remuneration to be paid monthly during the course of the receivership and so that the joint receivers and managers shall be deemed to be the agent of the said company and not of the Bank as provided in the said debenture provided that such payment shall only be made to the extent that there are sufficient assets of the company available to meet such costs and provided that the receivers and managers provide regular reports to the Bank at times reasonably requested by it.

Notice of Appointment of Receiver

Pursuant to Section 346 (1) of the Companies Act 1955

Notice is hereby given that on the 25th day of September 1989, the ANZ Banking Group (New Zealand) Ltd. appointed Peter Reginald Howells, chartered accountant of Auckland, as receiver and manager of the property of Spring Electronics (1989) Ltd. (formerly Roger Angell Electronics Ltd.) under the powers contained in mortgage debenture dated the 17th day of August 1985, given by that company.

The office of the Receiver and Manager are at the offices of Messrs Coopers & Lybrand, chartered accountants, CML Centre, 157-165 Queen Street, Auckland.

The receiver and manager has been appointed in respect of all the company undertakings and all their real and personal property and all their assets and effects whatsoever and wheresoever, both present and future, including their uncashed and unpaid capital.
