(the "company"), bearing the date 11 January 1988, has appointed Peter John Morgan Taylor and Kingi Winiata Smiler, both chartered accountants of Wellington, jointly as receivers and managers of the property of the company on 16 August 1989, pursuant to the powers contained in the said debenture.

Action Finance Ltd., being the debenture holder under a debenture issued by Traditional Exports New Zealand Ltd. on the 30th day of March 1988, a copy of which debenture was registered with the Registrar of Companies in Christchurch on the 2nd day of May 1988, hereby appoints Messrs Paul Francis Lynskey and Stephen John Tubbs, partners in Coopers & Lybrand, Chartered Accountants of 208 Oxford Terrace (P.O. Box 13-244), Christchurch, to be receivers and managers, with power to act in all matters either jointly or severally of Traditional Exports New Zealand Ltd., pursuant to clause 38 of the debenture upon the grounds that Traditional Exports New Zealand Ltd. is in breach of clause B (a) of the debenture and that the company has failed to rectify the breach, thereby committing a breach of the debenture.
