Notice of Extraordinary General Meeting

Notice is given that an extraordinary general meeting of the members of Gordon and Gotch (N.Z.) Ltd., will be held at Auckland on the 10th day of July 1989, commencing at 12.30 p.m.

Business:
To consider and, if thought fit, to pass the following resolution which will be passed as a special resolution of the company:

"That the existing memorandum of association of the company be altered by:

(a) Renumbering clause I as 1; and

(b) Omitting clause II and substituting the following as a new clause 2:

‘2. The company is a public company.’; and

(c) Omitting clause III; and

(d) Renumbering clause IV as clause 3; and

(e) Omitting clause V and substituting the following as the new clause 4:

‘4. The capital of the company is $10,700,000 divided into 5,350,000 shares of $2 each.’

And that the company shall henceforth have the rights, powers, and privileges of a natural person including (without limiting the generality of the foregoing) the powers referred to in subsections (a) to (h) (inclusive) of section 15A (1) of the Companies Act 1955."

Elders Rural Finance NZ Ltd., a duly incorporated company having its registered office at Auckland, hereby gives notice that on the 30th day of June 1989, it appointed Evan Ross Carpenter of Elders Pastoral Ltd., whose offices are at 17-19 Manchester Street, Feilding as a receiver and manager of all of the income of the company pursuant to powers contained in a mortgage dated the 24th day of October 1985 and registered in the Land Transfer Office at Wellington under No. 787284.6 a copy of which mortgage was registered in the Companies Office on the 29th day of October 1985. The receiver has been appointed in respect of all of the income of the company derived from the land in certificate of title 16D/1487 (Wellington Registry) both present and future.
