The Bank of New Zealand with reference to Cryns Construction Ltd., hereby gives notice that on the 21st day of June 1989, the bank appointed Kim Rowland Powell and Stephen Robert Patrick both accountants, whose offices are at Ferrier Hodgson Hogg Young Cathie, Insolvency Practitioners, Quay Tower, 29 Customs Street West, Auckland, jointly and severally as receivers and managers of the property of this company under the powers contained in an instrument dated the 25th day of July 1988. The receivers and managers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects, whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.

Appointment of Receiver and Manager

Seapark Group Ltd. (hereinafter called “the debenture holder”) being the registered holder of a debenture issued by Consumer Network Company Ltd. (hereinafter called “the company”) on the 5th day of December 1988, a copy of which debenture was registered with the Registrar of Companies in Christchurch on the 9th day of December 1988, to secure repayment by the company to the debenture holder of inter alia all loans, credits, advances and payments provided by the debenture holder to the company hereby appoints:

Brian William O’Malley, a management and taxation consultant of Christchurch (P.O. Box 22-001) to be the receiver and manager with power to act in all matters of the company pursuant to clause 7 of the debenture upon the grounds that the principal sum secured by the debenture has become payable.

The receiver shall hold office with the power and subject to the provisions set out in the conditions endorsed on the said debenture.

Notice of Meeting Intending (Inter Alia) to Alter the Provisions of the Memorandum of Association of the Company

Notice is hereby given that at the 1989 annual general meeting of shareholders of Kiwi Gold No Liability to be held at 9 a.m. on 24 July 1989 in the offices of the company, Third Floor, ACL House, 2 St Martins Lane, Auckland, New Zealand, it is intended inter alia to propose as a special resolution, a resolution for the alteration of the provisions of the memorandum of association with respect to the objects and powers of the company as follows:

“That subject to the registration of the company as one limited by shares the provisions of the memorandum of association of the company be amended by deleting clauses 3 and 4 of the memorandum and substituting therefore the following:

‘The liability of the members is limited’.”
