Notice of Special Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of Bremmerhaven Associates & Company Ltd. (in voluntary liquidation) members’ winding up and:

That the members of the above-named company by way of entry in the company minute book, pursuant to section 362 of the Companies Act 1955, have on the 29th day of May 1989, passed the following special resolution:

“That the company be wound up voluntarily and that Daniel Perry Johnston of Austin Road, Maunu, Whangarei, chartered accountant, be appointed liquidator for the purposes of such winding up.”

Notice Calling General Meeting

Notice is hereby given pursuant to section 281 of the Companies Act 1955, that a general meeting of the company will be held at the liquidator’s office, situated at Fourth Floor, Parkview Tower, 28 Davies Avenue, Manukau City on the 17th day of July 1989 at 9 a.m., for the purpose of laying before the shareholders the liquidator’s account of the winding up showing how the winding up has been conducted and the property of the company disposed of, and to receive any explanation thereof by the liquidator and also of determining by extraordinary resolution that the books, accounts and documents of the company and of the liquidator shall be held at the residence of Ashley C. Bellam for a period of 5 years from the date of this resolution.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.
