Notice is hereby given that by duly signed entry in the minute book of the above-named company on the 13th day of June 1989, the following special resolutions of shareholders was passed, namely:

Resolve:

That as the company has ceased trading that the company be wound up voluntarily.

That Graeme N. Davey of Walker Davey & Co., chartered accountants, be nominated as liquidator by the company pursuant to section 276 of the Companies Act 1955.

Pursuant to Section 269 of the Companies Act 1955

In the matter of the Companies Act 1955, and in the matter of S A Jackson and Company Ltd.:

Notice is hereby given that by means of an entry in the minute book of S A Jackson and Company Ltd. in accordance with section 362 of the Companies Act 1955, the following resolution was passed on the 17th day of June 1989:

"That the company having filed a declaration of solvency in compliance with section 274 (2) of the Companies Act 1955, be wound up voluntarily and that Mark Winston Iles of Auckland, chartered accountant, be appointed liquidator."

That the liquidator hereby fixes the 1st day of August 1989, as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to the distribution.

Walker & Lewis Ltd.

On 14 June 1989, it was resolved by special resolution pursuant to section 268 (1) (b) and in accordance with section 362 of the Companies Act 1955, that Walker & Lewis Ltd., be wound up voluntarily and further resolved that Daniel Martin Virtue, chartered accountant of Auckland, be appointed for the purposes of winding up the affairs of the company and distributing the assets.

A statutory declaration of solvency was filed with the Registrar of Companies prior to the passing of the resolutions.
