DFC New Zealand Ltd., a duly incorporated company having its registered office at Levin, hereby gives notice that on the 20th day of May 1988, Thoms Hughes Lloyd Davies and Timothy Wilson Downes, chartered accountants of Wellington and Palmerston North respectively, were appointed the joint and several receivers and managers of Penrod (Department Stores) Ltd. under and by virtue of the provisions of a debenture dated the 2nd day of October 1986.

The offices of the receivers and managers are at the offices of Messrs Deloitte Haskins & Sells, Chartered Accountants, MLC Building, 182–184 The Square, Palmerston North.

The property in respect of which the said receivers and managers have been appointed is all the undertaking and its real and personal property and all its assets and effects whatsoever and wheresoever, both present and future of the said Penrod (Department Stores) Ltd. including its uncalled and unpaid capital.

Notice of Proposed Resolution to Alter Memorandum of Association

Notice is hereby given that the annual general meeting of the members of NDA New Zealand Ltd., will be held in the Dorset Suite, West Plaza Hotel, 110–116 Wakefield Street, Wellington on Wednesday, the 22nd day of June 1988 at 10 a.m. and notice is hereby given that at that meeting of the company it is proposed (inter alia) to consider and if thought fit to pass the following resolution as a special resolution.

(a) That the memorandum of association of the company be amended by deleting clause 2 and subclauses (1) to (21) inclusive thereof (which clause and subclauses set out the objects of the company) and all the provisions in respect of the powers of the company and that the company by this resolution henceforth adopt and acquire without any limitation all the rights, powers and privileges of a natural person including the powers referred to in paragraph (a) to (h) inclusive of subsection (1) of section 15A of the Companies Act 1955.
