debentures dated 18 April 1984 and 12 May 1987 given by Strategic Capital Ltd. a duly incorporated company having its registered office at Auckland ("the company") in favour of ANZ Banking Group (New Zealand) Ltd. copies of which were registered with the Registrar of Companies at Wellington and Auckland respectively on 9 May 1984 and 2 June 1987 respectively.
