Notice of Appointment of Receivers and Managers

Pursuant to Section 346 (1) of the Companies Act 1955

Bank of New Zealand with reference to Protocom Integrated Communications Ltd., hereby gives notice that on the 26th day of February 1988 the bank appointed Paul Richard Preston and John Anthony Waller, both chartered accountants, whose offices are at the offices of Price Waterhouse, Chartered Accountants, AMP Building, 47 Cathedral Square, Christchurch, jointly and severally as receivers and managers of the property of Protocom Integrated Communications Ltd. under the powers contained in an instrument dated the 16th day of December 1987. The receivers and managers have been appointed in respect of all of the company’s undertaking and all its real and personal property and all its assets and effects whatsoever and wheresoever both present and future including its uncalled and unpaid capital.

"That the present memorandum of association of the company be amended by deleting clause 3 thereof and inserting as clause 3 the following:

'The company shall have the rights, powers and privileges of a natural person including the powers referred to in section 15A (1) (a) to (h) of the Companies Act 1955.'"
