Pursuant to Section 346 (1) of the Companies Act 1955

At the request of Alan Young Boats Ltd. and consequent upon default under a certain debenture, dated the 8th day of December 1986, from Alan Young Boats Ltd. to Westpac Banking Corporation (“the debenture”), Westpac Banking Corporation hereby give notice that, on the 23rd day of February 1988, it appointed Keith Raymond Smith and Brian Mayo-Smith of Auckland, chartered accountants, whose office is care of Kirk Barclay, Twelfth Floor, Downtown House, 21–29 Queen Street, Auckland (P.O. Box 2219), as receivers and managers of all the assets of the above company under the power contained in the debenture.

Pursuant to Section 346 (1) of the Companies Act 1955

The Bank of New Zealand with reference to Newhaven Engineering Ltd. hereby give notice that, on the 22nd day of February 1988, the bank appointed Laurence George Chilcott and Peter Charles Chaffield, both chartered accountants, whose offices are at the offices of Smith Chilcott & Co., Chartered Accountants, General Building, corner Shortland and O’Connell Streets, Auckland, jointly and severally as receivers of the property of this company, under the powers contained in an instrument dated the 9th day of September 1975. The receivers have been appointed in respect of the company’s undertaking and all its real and personal property and all its assets and effects whatsoever and wheresoever, both present and future, including its uncalled and unpaid capital.

In the matter of the Companies Act 1955, and in the matter of a debenture issued by Bingo International Ltd. (hereinafter called “the company”) in favour of Barclays Bank New Zealand Ltd. (formerly known as Barclays New Zealand Ltd.) (hereinafter called “the debenture holder”):

Bell Gully Buddle Weir hereby gives notice that, on the 17th day of February 1988, Barclays Bank N.Z. Ltd. appointed Bryan Norreys Kensington and Alan James Cunningham, both of Auckland, chartered accountants, both jointly and severally as receivers and managers of all the undertaking property and assets charged by a certain debenture, dated the 22nd day of August 1986, given by the company in favour of the debenture holder.

The situation of the office of the receivers and managers is care of Messrs Arthur Young, Chartered Accountants, National Mutual Centre, 37–41 Shortland Street, Auckland.

Notice is hereby given that an extraordinary general meeting of the above-named company will be held at 123 Remuera Road, Paraparaumu, on the 14th day of March 1988 at 4.30 p.m.

Business:

The business of the meeting is to consider, and if thought fit, to pass the following resolution as a special resolution of the company.

1. That, pursuant to section 18 (1) (a) of the Companies Act 1955, the memorandum of association of the company, be and it is hereby altered, by inclusion as an additional main object a new sub-paragraph 3 (f) as follows:

   “(f) To establish and maintain or procure the establishment and maintenance of any contributory or non-contributory pension or superannuation fund for the benefit of, and to give or procure the giving of donations, gratuities, pensions, allowances or emoluments to any persons who are or were at any time in the employment or service of the company, or of any company which is a subsidiary of the company or is allied to or associated with the company or with such subsidiary company, or who are or were at any time directors or officers of the company or of any such other company, as aforesaid and the wives, widows, families and dependents of any such persons and make payments to or towards the insurance of any such person as aforesaid and do any of the matters aforesaid, either alone or in conjunction with any other such company aforesaid.”

2. That all subsequent paragraphs of the memorandum be consequently re-numbered.

Proxies: Shareholders are advised that any member entitled to attend and vote at the meeting may appoint a proxy to attend and vote on their behalf, in accordance with the present articles of association.
