Notice Calling Final Meeting

In the matter of the Companies Act 1955, and in the matter of G. G. Sutton Ltd. (in liquidation):

Notice is hereby given, in pursuance of section 281 (2) of the Companies Act 1955, that a meeting of the shareholders of the company will be held at the offices of Winstanley Kerridge, 22A Scott Street, Blenheim, on the 11th day of March 1988 at 2 p.m. for the purpose of having an account laid before it, showing how the winding up has been conducted, and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

To consider and if thought fit pass the following resolution, namely:

“That in accordance with section 328 of the Companies Act 1955, the liquidator be authorised to retire and to hold for eventual disposal in such manner as he sees fit, such period to be not less than 5 years, the books and papers of the company.”

Hopper Group Ltd.

Notice of Resolution for Voluntary Winding Up

Notice is given that the following special resolution was passed by the company on the 17th day of December 1987:

“A declaration of solvency having been made and filed in accordance with section 274 of the Companies Act 1955:

  1. The company be wound up voluntarily; and
  2. Anthony David Sage be appointed liquidator for the purpose of winding up the affairs and distributing the assets of the company.”

Notice is also given that the company, being the parent of the Hopper group of companies, and it being desired to rearrange the assets of the group, the liquidation of the company is a necessary part of that rearrangement. The liquidation of the company does not reflect in any way on its financial standing or the financial standing of any other company within the Hopper Group. Each company except, of course, Hopper Group Ltd., which is being wound up by its members, will continue to carry on business unaffected by the rearrangement.
