Rainger Textiles Limited, a duly incorporated company having its registered office at Auckland, fashion textile converters; and that the said petition is directed to be heard before the Court sitting at Wellington on the 24th day of February 1988 at 10 o’clock in the forenoon; and any creditor or contributory of the said company desirous to support or oppose the making of an order on the said petition may appear at the time of hearing in person or by his counsel for that purpose; and a copy of the petition will be furnished by the undersigned to any creditor or contributory of the said company requiring a copy on payment of the regulated charge for the same.

In the matter of the Partnership Act 1908, and in the matter of the formation of a special partnership pursuant to Part II of the Partnership Act 1908 to be known as Adviscorp Properties Drake Street Limited and Company:
Certificate (Pursuant to Section 51)
A. The style of the firm under which the partnership is to be conducted is “Adviscorp Properties Drake Street Limited and Company”.
B. General Partner: Adviscorp Properties Drake Street Limited, Ground Floor, Adviscorp House, 131–135 Lambton Quay, Wellington.
C. Special Partner: Alan Luke Frost, 16 Woodmancote Road, Khandallah, Wellington, company director.
D. The authorised partnership capital is one hundred and forty (140) units of five thousand dollars ($5,000.00) each giving a total authorised partnership capital of seven hundred thousand dollars ($700,000.00).
The amount of capital which each special partner contributes shall be five thousand ($5,000.00) for each unit allotted to each special partner. The general partner will not be allotted any units in the authorised partnership capital and will not make any contribution to the common stock.
E. The general nature of the business to be transacted by the partnership shall be the purchase, ownership and leasing of real property in New Zealand and elsewhere and to undertake and carry out any other business which may in the opinion of the general partner and the special partners be conveniently or profitably undertaken by the partnership whether or not such business shall be similar in nature.
F. The principal place at which the partnership business is to be transacted is Ground Floor, Adviscorp House, 131–135 Lambton Quay, Wellington.
G. The partnership shall commence on date of registration of the special partnership in the High Court at Wellington and terminate upon the sooner to occur of:
(a) The registration of the certificate of dissolution pursuant to section 62 of the Partnership Act 1908; or
(b) The expiration of a period of seven years from the date of the filing of the certificate of registration of the partnership in the High Court at Wellington; or
(c) If the term of the partnership shall have been extended in accordance with sections 57 and 58 of the Partnership Act 1908, the expiration of the extended term.
This certificate was executed on the 2nd day of February 1988 by the following parties in the presence of the undermentioned Justice of the Peace:
