Notice of Appointment of Receiver

Pursuant to Section 346 (1) (a) of the Companies Act 1955

DFC Financial Services Ltd., a duly incorporated company having its registered office at Wellington, with reference to Mainstay Properties Ltd., hereby gives notice that on the 14th day of November 1988 it appointed Messrs Anthony George Lewis and Stephen John Tubbs, both of Christchurch, chartered accountants, whose office is at the firm of Messrs Coopers & Lybrand, 208 Oxford Terrace, Christchurch, to be receivers and managers of all the undertaking property and assets of this company, charged by a certain debenture dated the 9th day of October 1987, and given by this company to DFC Financial Services Ltd.

The receivers have been appointed in respect of all the company’s undertaking and all its property and assets whatsovever and wheresoever, both present and future, including its uncalled capital and called but unpaid capital of the company.

Notice of Extraordinary General Meeting

Alteration of Memorandum of Association

Pursuant to Section 18 (5) of the Companies Act 1955

Hughes and Cossar Holdings Ltd., hereby gives notice that an extraordinary general meeting of the company will be held in the Ascot Room, Ellerslie Racecourse, Greenlane Road, Auckland on the 14th day of December 1988 at 12 noon, or so soon thereafter as the annual general meeting of the company shall have concluded, to consider and if thought fit to pass the following special resolution:

That the memorandum of association of the company be and is hereby altered by deleting clause III thereof which sets forth the objects and powers of the company, and substituting the following clause:

"III The company shall have the rights, powers and privileges of a natural person, including the powers set forth in paragraphs (a) to (h) of subsection 15A (1) of the Companies Act 1955."

The governing director of Zizania Management No. 77 Ltd. with reference to Metroc Holdings Ltd. hereby gives notice that on the 14th day of November 1988 Zizania Management No. 77 Ltd. appointed Gerard James Hulst and John Joseph Cregen, chartered accountants, whose offices are at the offices of Messrs. Arthur Young, Chartered Accountants, National Mutual Centre, Shortland Street, Auckland, jointly and severally as receivers and managers of all the property of this company under the powers contained in an instrument dated the 26th day of February 1987. This instrument was executed by the company in favour of Egnal Holdings Ltd. (now called Strategic Capital Ltd.). Zizania Management No. 77 Ltd. is the holder of the debenture under a deed of assignment dated the 5th day of August 1988.

The receivers and managers have been appointed in respect of all the company’s undertaking and all its property and assets whatsovever and wheresoever, both present and future, including the uncalled and called but unpaid capital of the company.

DFC Financial Services Ltd. hereby gives notice that on the 21st day of November 1988, John Francis Managh, chartered accountant of Wellington was appointed the receiver and manager of The New Zealand Seafood Trading Company Ltd., under and by virtue of the provisions of a debenture, dated the 16th day of November 1983. The offices of the receiver and manager is at Book House, Boulcott Street, Wellington.

The property in respect of which the said receiver and manager has been appointed is all the undertaking and its real and personal property and all its assets and effects whatsoever and wheresoever, both present and future of the said The New Zealand Seafood Trading Company Ltd., including its uncalled and unpaid capital.
