Notice is hereby given that on the 7th day of October 1988, the ANZ Banking Group (New Zealand) Ltd. appointed Messrs Peter Reginald Howell and Kevin James Beardsley, both of Auckland, as receivers and managers of the property of Uno Pacific Ltd. under the powers contained in a mortgage debenture dated the 29th day of July 1987, given by the company.

The offices of the receivers and managers are at the offices of Messrs Coopers & Lybrand, Chartered Accountants, C.M.L. Building, corner Queen and Wyndham Streets, P.O. Box 48, Auckland.

The receivers and managers have been appointed in respect of all the company undertakings and all real and personal property and all assets and effects, whatsoever and wheresoever, both present and future, including uncalled and unpaid capital.

Notice of Extraordinary General Meetings to Consider Special Resolutions

Notice is hereby given that extraordinary general meetings of the members of each of the above-named companies will be held on the 11th day of November 1988 at the registered office of the companies, 640 Great South Road, Manukau City, Auckland at 10 a.m.

The purpose of these meetings is to consider and, if thought fit, to pass the following special resolutions:

"(1) That pursuant to sections 15A (5) and 18 (1) (a) and (1) (c) of the Companies Act 1955, the memorandum of association of the company is hereby amended by omitting all the objects and powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers set out in subsection (1) (a) to (h) of section 15A; and

(2) That accordingly the present memorandum of association of the company as amended and the memorandum of association as attached hereto is hereby adopted as the memorandum of association of the company."
