Notice of Extraordinary General Meeting to Consider Special Resolutions

In the matter of the Companies Act 1955, and in the matter of Westgold Rentals Ltd.:

Notice is hereby given that an extraordinary general meeting of the members of the above-named company will be held on the 25th day of August 1988 at the premises of Westgold Motors Ltd., 25 Herbert Street, Greymouth at 10 a.m.

Business:

The purpose of this meeting is to consider and if thought fit to pass the following special resolutions:

(a) "That pursuant to sections 15A (5) and 18 (1) (a) and (1) (c) of the Companies Act 1955, the memorandum of association of the company is hereby amended by omitting all the objects and powers of the company contained therein and that, henceforth the company shall have the rights, powers and privileges of a natural person (including the powers set out in sections 15A (1) (A) to (H)); AND

(b) That accordingly the present memorandum of association of the company is amended and the memorandum of association as attached hereto is hereby adopted as the memorandum of association of the Company."

The memoranda of association referred to in paragraph (b) of the special resolution set out above is not included in the advertisement but is available for inspection at the offices of Buddle Findlay, BNZ Centre, 1 Willis Street, Wellington.

Proxy: Any member entitled to attend and vote at the meeting may appoint a proxy to attend in his or her stead. The proxy need not be a member of the company.

Notice is hereby given that a general meeting of the members of Grasscutter Promotions Ltd. will be held at the offices of Leasecorp Holdings Ltd. at 14 Hazeldean Road, Christchurch on Wednesday, the 31st day of August 1988 at 10 o'clock in the forenoon for the purpose of considering and if thought fit, of passing as a special resolution the following:

"That the provisions of the memorandum of association with respect to the objects of the company be amended by deleting objects (a) and (b) in clause 3 of the memorandum and inserting in lieu thereof the objects to be numbered (a) and (b) namely:

(a) To carry on the business in film promoters.

(b) To carry on any of the businesses of makers, sellers and distributors of films.

And that the provisions of the memorandum of association with respect to the powers of the company be amended by deleting the powers listed (f) through to (t) both inclusive in clause 3 of the memorandum and inserting in lieu thereof the powers to be numbered (f):

The company shall have the rights, powers and privileges of a natural person."
