Notice Calling Final Meetings of Members and Creditors

Notice is hereby given in pursuance of section 291 of the Companies Act 1955, that meetings of the members and creditors of the above-named companies will be held at the offices of Peat Marwick, 40 Atkinson Avenue, Otahuhu, at 11 a.m. on the 25th day of August 1988, for the purpose of having an account laid before the meetings showing how the winding up has been conducted and the property of the companies have been disposed of, and to receive any explanations thereof by the liquidator.

Every member or creditor entitled to attend and vote at the meetings is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member or creditor respectively.

Proxies to be used at the meetings must be lodged at the offices of Peat Marwick, P.O. Box 22-481, Otahuhu, not later than 4 o'clock in the afternoon on the 24th day of August 1988.

Notice of Appointment of Receivers Pursuant to Section 346 (1)

Notice is hereby given that on the 28th day of July 1988 Queensland Industry Development Corporation appointed Messrs Peter Reginald Howell and John Lawrence Vague, both chartered accountants of Auckland, as joint receivers and managers of the property of Pressure Control Engineering Ltd under the powers contained in a debenture dated the 7th day of April 1987 given by that company.

The offices of the receivers and managers are at the offices of Messrs Coopers and Lybrand, Chartered Accountants, 157-165 Queen Street, Auckland.

Notice is hereby given that an extraordinary general meeting of Egmont Contractors Ltd. is to be held at 2 p.m. on the 29th day of August 1988 at the registered office of the company at 7 Liardet Street, New Plymouth, to consider and if thought fit to pass the following special resolution:

“That:

1. Pursuant to sections 18 (1) (a) and 18 (1) (c) of the Companies Act 1955 the memorandum of association of the company be altered by omitting all the objects and all the provisions in respect of the powers of the company set out in clause III of the memorandum of association.

2. The company shall have the rights, powers and privileges of natural persons, including the powers referred to in subsection 1 (a) to (h) of section 15a of the Companies Act 1955.”
