Notice of General Meeting

Pursuant to Section 18 (5) of the Companies Act 1955

Notice is hereby given that a general meeting of Nelson Evening Mail Ltd. ("the company") will be held at 15 Bridge Street, Nelson on the 18th day of August 1988 at 10 a.m. at which it is intended to propose as a special resolution, a resolution for the alteration of the provisions of the memorandum of the company with respect to the objects and powers of the company, pursuant to section 18 (5) of the Companies Act 1955. The following resolution will be considered, and if thought fit, passed at the meeting:

"That the memorandum of association of the company be and hereby is altered by omitting paragraph 3 of the memorandum including all the objects and powers set out in that paragraph, and substituting the following, namely:

The company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection 1 (a) to (h) of section 15a of the Companies Act 1955."

Notice of Appointment of Receiver and Manager

I, Tom Hamilton Simpson, chartered accountant of Auckland hereby give notice that on the 18th day of July 1988, I was appointed receiver and manager of the property of Simpson Management Group Ltd., under the powers contained in a debenture dated the 24th day of June 1982 which property consists of all the undertaking goodwill and assets relating to the operation of the business carried on by the said Simpson Management Group Ltd. Take notice that in exercise of the powers contained in a debenture dated the 3rd day of February 1983 issued by Ian Brooks Plumbing Ltd., to Bank of New Zealand Ltd., the said Bank of New Zealand Ltd. has appointed Eric Thomas Lee and Simon James Redai, both chartered accountants, jointly and severally as receivers to enter upon and take possession of all the undertaking and all real and personal property and all assets and effects of the company, whatsoever and wheresoever, situated both present and future, including the uncalled and called but unpaid capital of the company charged by the said debenture and to exercise all or any of the powers in that behalf conferred on a receiver by the said debenture or by law.
