Resolved unanimously by memorandum signed for the purpose of becoming any entry in the minute book of the company pursuant to section 362 of the Companies Act 1955:

  1. That the company cannot by reason of its liabilities continue its business and that it is advisable to wind up and that accordingly the company be wound up voluntarily.

  2. That the company nominates Bruce McCallum and Geoffrey Edward Fuller as joint and several liquidators of the company and that the remuneration shall be charged by the liquidator on the same basis as that normally applied by professional firms of accountants engaged in receivership and liquidation work, and that the remuneration shall be payable from the assets of the company at 1-monthly intervals during the course of the liquidation.

  3. That The Official Assignee be appointed the Provisional Liquidator.

Creditors Voluntary Winding up

In the matter of the Companies Act 1955, and in the matter of Allpoint Distributors Ltd.:

Take notice that a meeting of the creditors in the above matter, will pursuant to section 284 of the above Act, be held in the A Lounge, Halifax Street, Nelson on Monday, 25 July 1988 at 11 a.m. for the purposes set out in section 284, 285 and 286 of the above Act.

Business:

(1) To consider the following extraordinary resolution for winding up passed by the above named company on 11 July 1988:

“That the company cannot by reason of its liabilities continue in business and that it is advisable to wind up, and that the company be wound up voluntarily.”

(2) To consider a statement of the position of the company’s affairs together with a list of creditors of the company and the estimated amount of their claims.

(3) To nominate a person to be liquidator for the purpose of winding up the affairs and distributing the assets of the above-named company. E. C. Jorgensen, Chartered Accountant of Nelson, was appointed liquidator by the members of the company.

(4) To appoint members of a committee of inspection if thought fit.


Notice of Resolution for Voluntary Winding Up

In the matter of the Companies Act 1955, and in the matter of E. D. Wilson Construction (Nelson) Ltd. (in voluntary liquidation)

Notice is hereby given that the following special resolutions were duly passed on 27 June 1988 by means of an entry in the minute book of the company, pursuant to the provisions of section 362 of the Companies Act 1955:

  1. That the company be wound up voluntarily.

  2. That Leonard Smith be and is hereby appointed liquidator for the purpose of winding up the affairs of the company and distributing the assets.

In the matter of the Companies Act 1955, and in the matter of E. D. Wilson Construction (Nelson) Ltd. (in voluntary liquidation):

Notice is hereby given that the undersigned, the liquidator of the above company which is being wound up voluntarily, does hereby fix the 29th day of August 1988 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved, or, as the case may be, from objecting to the distribution.
