Whereas Digdeep Enterprises Ltd., a duly incorporated company having its registered office at Tauranga (hereinafter referred to as “the company”) as the borrower and William Eccles Ward and Vivienne Ann Mitchell as the guarantors issued a debenture, dated the 28th day of July 1986 and registered at the office of the Registrar of Companies, Hamilton on the 1st day of August 1986 (hereinafter referred to as “the debenture”), in favour of Development Finance Corporation of New Zealand Ltd. by virtue of the provisions vested in DFC New Zealand Ltd. as the lender to secure advances and other accommodation.

Take notice that the company is in default under the debenture in that:

(i) Under clause 5.03 (h) of the debenture the borrower has requested DFC to appoint a receiver over all the assets, property and undertaking charged by the debenture.

(ii) Under clause 5.03 (r) of the debenture, in the opinion of DFC the borrower is unable to pay or does not pay its debts as the same become due and payable upon the expiration of any periods of credit agreed to by creditors.

Now this deed witnesses that pursuant to the powers conferred upon it by the debenture, DFC hereby appoints Thomas Haines Wilson and Barrie Miles Owen, both of Tauranga, chartered accountants, jointly and severally as the receivers and managers of all the property and assets charged by the debenture with all the powers which every receiver and manager has under the debenture.
