Pursuant to Section 346 (1)

The Bank of New Zealand with reference to Aston Realties Ltd. hereby gives notice that on the 28th day of October 1987, the bank appointed Terence John Leamy and Richard Grant Simpson, both chartered accountants, whose offices are at the offices of Kirk Barclay, Chartered Accountants, CMC Building, 89 Courtenay Place, Wellington, jointly and severally as receivers and managers of the property of this company under the powers contained in an instrument dated the 30th day of September 1986. The receivers and managers have been appointed in respect of all the company’s undertaking and all its real and personal property and all its assets and effects whatsoever and wheresoever both present and future including its uncalled and unpaid capital.

Notice is hereby given that an extraordinary general meeting of the above-named company will be held at the offices of Bell Gully Buddle Weir, Eighth Floor, Europa House, 109–117 Featherston Street, Wellington on the 10th day of November 1987 at 10 a.m., to consider and if thought fit to pass the following resolution which will be proposed as a special resolution:

That pursuant to sections 18 (1) (a) and 18 (1) (c) of the Companies Act 1955, the Memorandum of Association of the company be and is hereby altered by omitting all of the objects and all provisions with respect to the powers of the company contained therein and that henceforth the company shall have the rights, powers and privileges of a natural person (including the powers referred to in subsection (1) (a) to (h) of section 15a of the Companies Act 1955).
