The Wattie Industries Limited (Group Accounts) Order 1987

At Wellington this 17th day of August 1987

PRESENT:

HIS EXCELLENCY THE GOVERNOR-GENERAL IN COUNCIL

WHEREAS section 156 (2) of the Companies Act 1955 provides that where the financial year of a subsidiary does not coincide with that of the holding company, the group accounts shall, unless the Governor-General, by Order in Council made on the application or with the consent of the holding company’s directors, otherwise directs, deal with the subsidiary’s state of affairs as at the end of its financial year ending with or last before that of the holding company, and with the subsidiary’s profit or loss for that financial year:

And whereas Waitaki International Limited is a subsidiary (within the meaning of section 158 of the Companies Act 1955) of Wattie Industries Limited:

And whereas Wattie Industries Limited has a financial year ending on the 31st day of July and Waitaki International Limited has a financial year ending on the 1st day of October:

And whereas the directors of Wattie Industries Limited have made an application under section 156 (2) of the Companies Act 1955 for a direction that the group accounts of Wattie Industries Limited for each financial year shall deal with the state of affairs of Waitaki International Limited as at the 1st day of April preceding the end of the financial year of Wattie Industries Limited and with Waitaki International Limited’s profit or loss for the 12 months preceding that date:

Now therefore, pursuant to section 156 (2) of the Companies Act 1955, His Excellency the Governor-General, acting by and with the advice and consent of the Executive Council and on the application of the directors of Wattie Industries Limited, hereby makes the following order.

ORDER

  1. Title and commencement—(1) This order may be cited as the Wattie Industries Limited (Group Accounts) Order 1987.

(2) This order shall come into force on the day after the date of its publication in the Gazette.

  1. State of affairs and profit or loss of Waitaki International Limited in group accounts of Wattie Industries Limited—The group accounts of Wattie Industries Limited for each financial year of Wattie Industries Limited shall deal with the state of affairs of Waitaki International Limited as at the 1st day of April preceding the end of the financial year of Wattie Industries Limited and with Waitaki International Limited’s profit or loss for the 12 months immediately preceding that date.

EXPLANATORY NOTE

This note is not part of the order, but is intended to indicate its general effect.

Under section 156 (2) of the Companies Act 1955 where the financial year of a subsidiary does not coincide with that of its holding company, the group accounts of the holding company, unless the Governor-General, by Order in Council, otherwise directs, are required to deal with the state of affairs of the subsidiary as at the end of the financial year ending with or last before that of the holding company and with the subsidiary’s profit or loss for that financial year. Waitaki International Limited is a subsidiary (within the meaning of section 158 of the Companies Act 1955) of Wattie Industries Limited. The financial year of Wattie Industries Limited ends on 31 July and that of Waitaki International Limited on 1 October. The group accounts of Wattie Industries Limited would, but for this order, be required to deal with the state of affairs of Waitaki International Limited as at the preceding 1 October and with its profit or loss for the 12 months preceding that date.

This order ensures that the group accounts deal with the state of affairs of Waitaki International Limited as at the preceding 1 April and with its profit or loss for the 12 months preceding that date.

Major R. H. Williams to be acting Lieutenant Colonel with effect from 16 June 1987 and temp. Lieutenant Colonel with effect from 18 June 1987.

Major (temp. Lieutenant Colonel) N. C. Thornton, M.V.O., to be Lieutenant Colonel with seniority and effect from 3 June 1987.
