NOTICE OF GENERAL MEETING

Pursuant to Section 18 (5) (d)

LOCKWOOD BUILDINGS LTD., hereby gives notice pursuant to section 18 (5) (d) of the Companies Act 1955, that a general meeting of Lockwood Buildings Ltd. will be held at the boardroom at the offices of Lockwood Buildings Ltd., Russell Road, Rotorua at 4.30 p.m. on the 7th of April 1986 at which it is intended to propose as a special resolution, a resolution for the alteration of the provisions of the memorandum of association of Lockwood Buildings Ltd. with respect to the objects and powers of such company.

A member entitled to attend and vote is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member.

Notice is hereby given that the company having ceased trading and discharged all its debts and liabilities, is making application to the Registrar of Companies to be dissolved under section 335A of the Companies Act 1955.

NOTICE TO CREDITORS TO PROVE DEBTS OR CLAIMS

IN the matter of the Companies Act 1955, and in the matter of MULTIPAK SCREEN PRINTERS LTD. (in liquidation):

Notice is hereby given that the undersigned, the liquidator of the above company which is being wound up, does hereby fix the 17th day of March 1986 as the day on or before which the creditors of the company are to prove their debts or claims, and to establish any title they may have to priority under section 308 of the Companies Act 1955, or to be excluded from the benefit of any distribution made before the debts are proved or, as the case may be, from objecting to any distribution.

NOTICE OF INTENTION TO APPLY FOR DISSOLUTION OF THE SOCIETY

Notice is hereby given that in accordance with the provisions of section 15 of the Industrial and Provident Societies Act 1908, the Society proposes to be dissolved.

Unless within 3 months from the date hereof a member or other person interested in or having any claim on the funds of the society commences proceedings to set aside the dissolution of the society in the Stratford District Court the society shall be legally dissolved.

Notice is hereby given that Stewarts Book & Toy Centre Ltd., has ceased to operate and has discharged all its debts and liabilities, and that in accordance with the provisions of section 335A of the Companies Act 1955, I propose to apply to the Registrar of Companies at Nelson for a declaration of dissolution of the company.

Notice is hereby given in pursuance of section 291 of the Companies Act 1955, that meetings of the members and creditors of the above-named company will be held at the offices of Peat, Marwick, Mitchell and Co., Sixth Floor, BNZ House, Cathedral Square, Christchurch at 11 a.m. on the 21st day of March 1986 for the purpose of having an account laid before the meetings showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanations thereof by the liquidator.

Further Business:

To consider and if thought fit to pass the following resolution as an extraordinary resolution, namely:

That the books, accounts and documents of the company and of the liquidator be disposed of to the care of the liquidator.

Every member and creditor entitled to attend and vote at the meetings is entitled to appoint a proxy to attend and vote instead of him. A proxy need not also be a member or a creditor.
