In the matter of Part II of the Partnership Act 1908, and IN THE MATTER of a special partnership styled TUAMATA FORESTRY COMPANY LIMITED AND COMPANY:

We the undersigned being the general and special partners of a special partnership hereby certify as follows:

(a) The style of the firm under which the partnership is to be conducted is TUAMATA FORESTRY COMPANY LIMITED AND COMPANY;

(b) The names and places of residence of the general partners and their contributions to the common stock are:

and the names and places of the special partners and their contributions to the capital are shown on the annexed Schedule.

(c) The amount of capital which each special partner contributes is set outside his respective name and address in the attached Schedule and the amount contributed by each general partner to the common stock is set outside his respective name and address in (b) above.

(d) The general nature of the business to be transacted is the establishment maintenance and harvesting of plantations of trees on a property being purchased by Tuamata Forestry Company Limited at Tokomaru West Road, Brunswick, Wanganui and such other business as the partners may decide upon.

(e) The principal place at which the business is to be transacted is at Tokomaru West Road, Brunswick, Wanganui.

(f) The partnership shall commence on 1 July 1985 and terminate on 30 June 1992 but the term may be renewed for successive periods of 7 years but the total duration of the terms of the partnership shall not in any event exceed 50 years from 1 July 1985.

In the matter of Part II of the Partnership Act 1908, and IN THE MATTER of a special partnership known as VAVASOUR WINES LIMITED AND COMPANY:

We the persons described in the Schedule hereto and VAVASOUR WINES LIMITED a duly incorporated company having its registered office at Blenheim, do hereby certify that by registration of this certificate we do hereby form and constitute this special partnership under the provisions of Part II of the Partnership Act 1908 and do hereby further certify pursuant to the provisions of section 51 of the said Act as follows:

(a) The style of the firm under which the partnership is to be conducted VAVASOUR WINES LIMITED AND COMPANY;

(b) The names and places of residence of all the partners are as follows:

General Partner--
VAVASOUR WINES LIMITED, care of Messrs Lundon Radich Dew, High Street, Blenheim.

Special Partners--
The persons whose names and addresses are set forth in the Schedule hereto;

(c) The aforesaid special partners’ contribution to the common stock of the partnership are the sums listed against their respective names in the Schedule hereto. The general partner has not contributed to the common stock of the partnership;

(d) The general nature of the business to be transacted by the partnership is that of viticulture;

(e) The principal place at which the business is to be transacted is Blenheim;

(f) The partnership is to commence on the date of the registration of this certificate and is to terminate on the 30th day of June 1993.
