It is hereby certified pursuant to section 51 of the Partnership Act 1908 that the certificate of special partnership was filed in the High Court at Christchurch on 31 July 1986 under No. M. 319/86.

The name of the special partnership is APPLEFIELDS MANAGEMENT LIMITED AND COMPANY.

The names, addresses, occupations and capital contributions of the general and mutual special partners are as set forth in the Schedule hereto.

The business of the partnership will be as follows:
(a) To carry on the business of horticultural farming and orcharding and without limiting the generality thereof to carry on the business of pip fruit farming for profit;
(b) To carry on any other business which may in the opinion of the partners be profitably undertaken whether or not such business shall be similar to that referred to in (a) above.

The principal place at which the business of the partners shall be conducted will be the registered office for the time being of Applefields Management Limited which at the date of registration of this certificate is at the offices of Canterbury Orchard Services Limited, 457 Main North Road, Belfast, Christchurch.

The partnership commenced upon registration of the first certificate of special partnership pursuant to section 54 of the Partnership Act 1908 and subject to the provisions of the partnership deed relating to earlier dissolution shall terminate upon the expiry of 7 years from the date of registration of the aforesaid first certificate of special partnership.

The capital of the partnership shall be 1002 units of $5,000.00 each being $5,010,000.00.
