COMPANIES ACT 1955

NOTICE is hereby given that an extraordinary general meeting of
the members of Como Holdings Ltd. will be held at BNZ House,
Cathedral Square, Christchurch on the 20th day of September 1985
at 11 a.m. for the purpose of considering and if thought fit of passing
as a special resolution the following:

1. That pursuant to the provisions of sections 15A (5) and 18 (1) (c)
   of the Companies Act 1955, the provisions of the
   memorandum of association of the company with respect to
   the powers of the company be amended by deleting all such
   provisions and that in their place the company shall have
   the rights, powers and privileges of a natural person except
   insofar as the exercise of those rights, powers and privileges
   may be restricted or prohibited.

2. That pursuant to the provisions of section 18 (1) (a) of the
   Companies Act 1955, clause 3 of the memorandum of
   association of the company be deleted.
