CERTIFICATE OF SPECIAL PARTNERSHIP

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

  1. The name of the special partnership is GRESSIER STUD LIMITED AND COMPANY.

  2. The names, places of residence, occupations and capital contributions of the general and special partners are as set forth in the Schedule hereto.

  3. The general nature of the business to be transacted by the partnership is the establishment and carrying on in New Zealand of the following businesses:
    3.1 Breeding, raising, and dealing in thoroughbred and other livestock;
    3.2 Racing thoroughbred livestock;
    3.3 The farming of sheep, dairy and beef cattle, pigs and other livestock and all other types and descriptions of farming.

  4. Any other businesses which in the opinion of the partners may conveniently or profitably undertaken by the partnership whether or not such business shall be similar in nature to any of the foregoing, and whether or not the partnership is engaged in any of the foregoing.

  5. The principal place from which the partnership business will be conducted shall be the property situated at Rahui Road, Otaki and known as “Gressier Stud”.

  6. The partnership shall commence upon registration of this certificate pursuant to section 54 of the Partnership Act 1908 and subject to the provisions in the deed of partnership relating to earlier dissolution, shall terminate upon the expiry of 7 years from the date of registration of this certificate.
