Commerce Act 1975

NOTICE is hereby given of decision No. 131 of the Commerce Commission dated 12 June 1985. By this decision which relates to the acquisition by Central Feed Mills Limited of Sandy Lodge Limited, the Commission determined to exercise its discretion under the Act by:

(a) Ordering the imposition of a condition that any entrant into the market of supplying chicken meat to retail in the southern half of the North Island or any participant therein will be able to obtain access to DOCs and feedstuffs from Wattle, its subsidiaries, or from CFM or Sandy Lodge on a non-discriminatory basis having regard to all of the circumstances; and

(b) Recommending to the Minister in accordance with section 66(1)(c) of the Act that he request a full report from the Department of Trade and Industry, or appropriate group or organisation, as to whether in its view customs duty payable upon imported chicken meat should be remitted and, if so, in what amount; and

(c) Ordering the imposition of the following obligations upon Sandy Lodge and upon CFM, NRM Feeds, and FPT in respect of the actions of Sandy Lodge:

(i) To source all of its feedstuffs on an independent and non-discriminatory basis based on quality and price competitiveness; and

(ii) To source all of its DOCs from Golden Coast Hatcheries Ltd. and Pacific Chicks Ltd. in approximate proportion to actual purchases over the last 12 months, subject to commercial considerations and availability; and

(iii) To continue to provide reasonable access to processing facilities to suppliers of end-of-lay hens; and

(iv) To remain as an independent production and processing unit with a pricing policy, terms and conditions of sale and marketing strategy independent of the Wattle Group; and

(v) To appoint independent directors with the responsibility, in addition to the normal directorial functions, of overseeing the above conditions, such directors to be independent of the Wattle Group and its associates in the chicken meat and related industries. For this purpose, Sandy Lodge is to have four directors with the Chairman not having a casting vote. One director is to be appointed by NRM Feeds, and one to be appointed by FPT. Two directors are to be independent of the Wattle Group and associates, such 2 directors to be nominated by Wattle and FPT and to be acceptable to the Commission.

In the normal way, such conditions are to be subject to review by the Commission from time to time in the event of a material change in circumstances.

The full text of this decision is available for inspection at the Commission’s offices, Sixth Floor, 163 The Terrace, Wellington (P.O. Box 10-273). Copies may be purchased on application to the Commission.
