NOTICE is hereby given that the order of the High Court of New Zealand made at Napier on the 4th day of October 1984, confirming the reduction of the paid up capital of the above-named company from $130,000 to $13,000 and the minute approved by the Court showing, with respect to the capital of the company as altered, the several particulars required by the Companies Act 1955, was registered by the District Registrar of Companies at Napier on the 17th day of October 1984. The said minute is in terms following:

“The capital of J. C. MACKERSEY LIMITED is $13,000 divided into 130,000 fully paid ordinary shares of 10 cents each having been reduced from $130,000 divided into 130,000 ordinary shares of $1 each fully paid.”

IN THE MATTER of Part II of the Partnership Act 1908, and IN THE MATTER of a special partnership known as TURKINGTON VENTURE CAPITAL LIMITED AND COMPANY:

  1. The above-mentioned special partnership was formed on the 30th day of April 1984, and a certificate pursuant to section 51 of the Partnership Act 1908 was registered in the High Court of New Zealand at Auckland, on that date.

  2. One of the special partners has transferred his partnership interest to a new special partner, and by unanimous resolution passed on the 12th day of October 1984, the partnership has increased its capital from the present sum of $1,010,000 to $1,666,500.

  3. It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:
