company having its registered office at 306E Queen Street,
Hastings and carrying on business as a tyre retailer:
NOTICE is hereby given that a petition for the winding up of
the above-named company by the High Court was, on the 13th day of
August 1984, presented to the said Court by FELTEX REIDRUBBER
LIMITED; and that the said petition is directed to be heard before
the Court sitting at Napier on the 3rd day of October 1984 at 9.30
o’clock in the forenoon; and any creditor or contributory of the said
company desirous to support or oppose the making of an order on
the said petition may appear at the time of hearing in person or by
his counsel for that purpose; and a copy of the petition will be
furnished by the undersigned to any creditor or contributory of the
said company requiring a copy on the payment of the regulated
charge for the same.

IN THE MATTER OF THE Companies Act 1955, and IN THE MATTER
of ODINS LIMITED, a duly incorporated company having its
registered office at The Esplanade and Hutt Road, Petone and
carrying on business as timber and builders’ supply merchants—
Applicant:
NOTICE is hereby given that on the 17th day of August 1984 the
following orders were made by the High Court of New Zealand at
Wellington:
-
That the special resolutions passed at the extraordinary general
meeting of the applicant company held on the 19th day of
July 1984 be and the same are hereby confirmed. -
That notice of registration of this order be published once in
the New Zealand Gazette within 1 month from the date of
registration thereof.
The special resolutions referred to in the foregoing orders provided
as follows:
(1) That subject to the confirmation of the High Court of New
Zealand and to any conditions imposed by the Court the
sum of $569,642 being a portion of the amount standing
to the credit of the share premium reserve account in the
books of the company as at the 25th day of June 1984,
and not having been previously authorised by the
shareholders for distribution with the confirmation by the
Court, may be distributed to the holders from time to time
of the ordinary shares in the capital of the company.
(2) That the distribution of the amount mentioned above may be
effected at such intervals and by a series of payments of
such amounts as the directors may from time to time
determine to the holders from time to time of the ordinary
shares in the capital of the company divided rateably but
subject always to the provisions of Article 136A of the
Articles of Association of the company in proportion to
the amounts paid up on the ordinary shares held by them.
(3) That prior to making each such distribution the directors shall
transfer from the revenue reserves of the company to the
capital replacement fund in the company’s accounts an
amount equal to the amount to be distributed, such fund
not to be available for the payment of dividends nor
without the approval of the High Court for distribution to
shareholders but may be applied in paying up unissued
shares of the company as fully paid bonus shares.
The above Order of the High Court was registered with the District
Registrar of Commercial Affairs on the 20th day of August 1984.
