NOTICE CALLING FINAL MEETING

In the matter of the Companies Act 1955, and in the matter
of REEVE INSURANCE SERVICES LTD. (in liquidation):

NOTICE is hereby given in pursuance to section 281 of the Companies
Act 1955, that a general meeting of the members of the above-
named company will be held at the registered office of the company,
Sixth Floor, Windsor Towers, 3 Parliament Street, Auckland, on
the 12th day of July 1984, at 3 o'clock in the afternoon for the
purpose of having an account laid before it showing how the
winding up has been conducted and the property of the company
disposed of and to receive any explanation thereof by the liquidator.

Further Business:

To consider and if thought fit to pass the following resolution as
an extraordinary resolution, namely:

That the books and papers of the company and of the liquidator
shall be disposed of at the expiration of 5 years. Every
member entitled to attend and vote at the meeting is entitled
to appoint a proxy to attend and vote instead of him. A
proxy need not be a member. Proxies to be used at the
meeting must be lodged with the undersigned at the registered
office of the company, care of Carley & Co., Sixth Floor,
Windsor Towers, 3 Parliament Street, Auckland, not later
than 10 o'clock in the forenoon on the 12th day of July 1984.

NOTICE OF APPOINTMENT OF RECEIVERS AND MANAGERS

The National Bank of New Zealand Ltd. gives notice that following
demand for payment having been made at the request of the directors
of Kaipara Edible Oils Refinery Ltd., it appointed on the 11th day
of June 1984, Maurice Kemble Twomey and Paul Richard Preston,

both of Auckland, chartered accountants to be jointly and severally
receivers and managers of all the undertaking and assets present
and future of Kaipara Edible Oils Refinery Ltd., pursuant to powers
contained in a debenture dated the 30th day of August 1977, a copy
whereof was duly registered with the Registrar of Companies at
Auckland on the 31st day of August 1977.

The office of the receivers and managers is situated at the office
of Messers Kendon Cox & Company, Chartered Accountants,
Vincent House, 156 Vincent Street, Auckland 1.
