Notice of Intention to Apply for Dissolution of the Company

Take notice that Mackisack and Andrew, chartered accountants of Wellington, the company secretaries of Goddard Properties Ltd., hereby give notice that we intend to apply to the District Registrar of Companies for a declaration of dissolution of the company and unless there are written objections lodged with the District Registrar of Companies, Wellington, within 30 days of the date of this notice, the Registrar may dissolve the company.

NOTICE CALLING FINAL MEETING

In the matter of the Companies Act 1955, and in the matter of GAMAGES (N.Z.) LTD. (in liquidation):

Notice is hereby given, in pursuance of section 281 of the Companies Act 1955, that a general meeting of the above-named company will be held at the office of Messrs McCulloch Menzies, Investment Centre, corner Ballance and Featherston Streets, Wellington, on Wednesday, 10 March 1982, at 11.30 a.m., for the purpose of having an account laid before it showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the liquidator.

Further Business:

To consider and, if thought fit, to pass the following resolution as an extraordinary resolution, namely:

That the books and papers of the company and of the liquidator be placed in the custody of the liquidator.

Every member entitled to attend and vote at the meeting is entitled to appoint a proxy to attend and vote instead of him, and that proxy need not be a member of the company.
