NOTICE is hereby given that a meeting of the creditors of the company will be held in the Boardroom of Wilkinson Wilberfoss, Chartered Accountants, NML Centre, The Octagon, Dunedin, on Tuesday, 21 December 1982, at 4 p.m.

Business:

To have laid before the meeting the liquidator’s account showing how the winding up has been conducted and the property of the company has been disposed of, and to receive any explanation thereof by the Liquidator.

Proxies to be used at the meeting must be lodged at the offices of Wilkinson Wilberfoss not later than 4 o’clock in the afternoon of 20 December 1982.

NOTICE is hereby given that in accordance with the provisions of section 335A of the Companies Act 1955, I propose to apply to the Registrar of Companies at Nelson for a declaration of dissolution of the company.

Unless written objection is made to the Registrar within 30 days of 7 December 1982 (the date this notice was posted in accordance with section 335A (3) (b) Companies Act 1955) the Registrar may dissolve the company.

ROTORUA BULK SPREADERS LTD.

NOTE that an extraordinary meeting of members is called for the above-named company at 10 o’clock in the forenoon on the 10th day of December 1982 to consider the following resolutions.

That the company by reason of its liabilities cannot continue its business and that it is therefore resolved to wind up the company and that the company appoint Gary Arnold Donovan, 11 Walnut Place, Rotorua as provisional liquidator of the company.

Note also that a meeting of creditors is called for 3 o’clock in the afternoon of 10th day of December 1982, at 41 Erucra Street, Rotorua.

MINUTE SHOWING AMOUNT OF SHARE CAPITAL

IN the matter of the Companies Act 1955, and in the matter of McALPINE INDUSTRIES LTD.:

THE issued share capital of McAlpine Industries Ltd. was by virtue of a special resolution of the company and with the sanction of the High Court of New Zealand reduced from $1,612,489.00 divided into 40 000 cumulative preference shares of $2 each (fully paid) and 3 064 978 ordinary shares of 50 cents each (fully paid) to $1,532,489.00 divided into 3 064 978 ordinary shares of 50 cents each (fully paid), such reduction having been effected by cancelling the said 40 000 cumulative preference shares and paying the sum of $80,000, (being the amount of such reduction) to the preference shareholder.

By virtue of an ordinary resolution of the company passed on the 29th day of September 1982, which was subject to the said reduction of the share capital of the company taking effect 53 333 shares of 50 cents each at a premium of $1 were forthwith allotted to the former holder of the cumulative preference shares and were paid up in cash in full on allotment, with the result that the issued share capital of the Company on the registration of this minute is $1,559,155.50 divided into 3 118 311 ordinary shares of 50c each.
