mentioned Act and by the Court were registered with the Registrar of Companies at Auckland on the 18th day of December 1981.
The said minute is in the words and figures following:
“That the share premium account of N.Z. FOREST PRODUCTS LIMITED as at the 31st day of March 1981, was in credit in the sum of $26,876,181 in the books of the company and by special resolution of the company passed on the 3rd day of September 1981 and duly confirmed by an Order of the High Court it was resolved that $4,000,000 being part of the said sum (such sum being in addition to the sums of fifteen million dollars ($15,000,000) and twenty-two million dollars ($22,000,000), set free for distribution pursuant to Orders of this Honourable Court made on the 28th day of June 1976 and 1st day of February 1979 respectively), be set free for distribution in cash to the holders from time to time of the shares in the capital of the company at such intervals and by a series of payments of such amounts as the directors of the company shall from time to time determine. Notwithstanding the aforesaid special resolution at the date of registration of this minute the authorised capital of N.Z. FOREST PRODUCTS LIMITED is $150,000,000, divided into 100,000,000 shares of $1 each and 50,000,000 shares of $1 each of no classification, the classification thereof to be determined at the time of issue and the issued capital of the company is $82,776,399 divided into 82,776,399 ordinary shares of $1 each, all of such issued shares being fully paid.”

It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

The name of the partnership is: Saratoga Breeding Limited and Company.

The names, addresses, occupations and initial capital contributions of the General Partner and the Special Partners: As set out in the Schedule hereto.

Partnership business: To establish and carry on in New Zealand and elsewhere the business of owners, lessors, breeders, farmers, and dealers of or in horses and all other classes of livestock to breed, train and race horses and to undertake or carry on any other activity or business ancillary or incidental thereto.

Principal place of business: The principal place from which the business of the partnership shall be conducted is the registered office of the general partner, situated at 89 Customs Street East, Auckland 1.

Duration of the partnership: The partnership shall commence upon registration of this certificate in accordance with section 54 of the Partnership Act 1908 and shall terminate upon the sooner to occur of:
(i) The registration at the High Court at Auckland of a certificate of dissolution in terms of section 62 of the Partnership Act 1908; or
(ii) The expiration of the period of 7 years from the date of registration of this certificate provided however that if the duration of the partnership shall have been extended for a further term by the written agreement of the general partner and all of the special partners then upon the expiration of such further term.
