Notice of Resolution for Voluntary Winding Up

IN the matter of the Companies Act 1955, and in the matter of the TE AWAMUTU CO-OPERATIVE DAIRY CO. LTD.:

NOTICE is hereby given that the following extraordinary and special resolutions were passed by an extraordinary general meeting of shareholders on the 28th day of May 1981.

1. As an extraordinary resolution—
   That the company confirm the resolution passed on 22 April 1981, that the company proceed with the proposed transfer of the whole of its business and property to the Cambridge Co-operative Dairy Co. Ltd., in accordance with the proposal set out in the detailed statement as amended thereto, which has been forwarded to each member of the company, and that the requisite procedures specified in section 24A of the Co-operative Dairy Companies Act 1949, be followed.

2. As a special resolution—
   That the company be wound up voluntarily and that Mr L. A. Gooch of Te Awamutu, company secretary, be appointed liquidator for the purpose of winding up the affairs of the company. That the liquidator be authorised to receive in compensation for the transfer of the assets of the company to the Cambridge Co-operative Dairy Co. Ltd., shares in that company for distribution among the members of this company, or to enter into any other arrangement by which the members of this company may, in lieu of receiving shares, or in addition thereto, participate in the profits of or receive any other benefit from the Cambridge Co-operative Dairy Co. Ltd.

NOTICE is hereby given that on the expiration of three calendar months from the date of publication of this notice for the first time in the New Zealand Gazette, INSURANCE COMPANY OF NORTH AMERICA, a company duly incorporated under the laws of the State of Pennsylvania in the United States of America and being registered as an overseas company pursuant to Part XII of the Companies Act 1955, intends to cease the carrying on of business in New Zealand. The New Zealand business of the company has been carried on since the 14th day of December 1978 by Insurance Company of North America (New Zealand) Limited, a duly incorporated company having its registered office at Auckland, and that company will continue to carry on such business.

This is the second publication of this notice.
