Notice by Examiner of Commercial Practices of Consent to a Merger and Takeover Proposal

PURSUANT to section 70 of the Commerce Act 1975, the Examiner of Commercial Practices hereby gives notice that he has, subject to subsection (9) of that section, consented to the following merger and takeover proposal, being a merger and takeover proposal which also requires consent under the Overseas Investment Act 1973, and the Overseas Investment Regulations 1974*

Person by or on behalf of whom notice was given in terms of section 68 (1) of the Commerce Act 1975

Hume Industries (N.Z.) Ltd. and Spiral Welded Pipes Ltd.

Proposal

Hume Industries (N.Z.) Ltd. may purchase a further 50 percent of the issued share capital in Spiral Welded Pipes Ltd.

Ballins Industries Ltd. may acquire more than 25 percent of the shareholding in Canterbury Wine and Spirits Ltd., South Canterbury Wine and Spirits Co. Ltd., and R. Powley and Co. (Canty) Ltd.; and the acquisition by Inns of Canterbury Ltd. of 3 taverns from Associated Taverns and to operate a total of 24 hotels and taverns at present owned by South Canterbury Wine and Spirits, Inns of Canterbury and Ballins, as a joint venture between Lion and Ballins.
