It is hereby certified pursuant to section 51 of the Partnership Act 1908 that:

1. The name of the partnership is Dataflow Group Limited and Company.

2. The names addresses occupations and capital contributions of the general and special partners are set out in the Schedule hereto.

3. Partnership Business—To undertake research or development in all applications of computers, to manufacture, assemble, buy and sell, rent and lease, import and export, and deal in both wholesale and retail computerised machines and software of all descriptions, to undertake the distribution and marketing of such machines and software in any part of the world, to act as agents, licensees, and sales representatives in connection with all types of machines and software of a computerised nature, to establish, acquire, and operate centres for provision of data processing and computer services, to carry on any one or more aspects of data processing or computer activities including systems analysis, computer programming, and computer processing and to perform all allied functions including calculating, collating, editing, and key punching services whether or not of an accounting, scientific, mathematical, or any other nature.

4. Principal Place of Business—The registered office of the general partner is at the offices of M. R. Tracy and Co., Chartered Accountants, 1 Turner Street, Auckland.

5. Duration of the Partnership—The partnership shall commence upon registration of this certificate in accordance with section 54 of the Partnership Act 1908, and shall terminate upon registration of a certificate pursuant to section 62 of the said Act or upon the expiration of 7 years from the date of registration of this certificate whichever is the sooner.
