WE, the persons named and described in the Schedule hereto
and SWEETWATERS MANAGEMENT LIMITED, a duly incorporated
company having its registered office at Auckland, do hereby
certify that by registration of this certificate we do hereby
form and constitute a Special Partnership under the provisions
of Part II of the Partnership Act 1908, and do hereby certify

and operators of properties held for the purposes for
providing the aforementioned, publishers, musicians
and public relations consultants generally, and to
carry on business as may be required as an export
merchant and house of musical items and produce
generally

and such other business as may from time to time be seen
to be to the partners as convenient or conducive to the
attainment of the objects of the partnership.

(e) The principal place at which the business is to be trans-
acted is at the offices of the general partner, First
Floor, T & G Building, Wellesley Street, Auckland.

(f) The partnership is to commence on the date of regis-
tration of this certificate and is to terminate 4 years
thereafter.
