Upon reading the notice of motion of the applicant dated the 18th day of August 1978, and the affidavit of KEITH FALLOON filed herein, this court hereby orders that a special resolution passed by the Applicant by entry in its minute book, on the 8th day of August 1978, reducing (subject to confirmation by this Honourable Court) the applicant’s share premium account be and the same is hereby confirmed subject to parts (b) and (c) of the said resolution not being varied without the prior approval of this Honourable Court, and so long as any part of the existing share premium account amounting to $356,000 is undistributed, the accounts of the company shall be noted so as to show:

(a) the existence of the resolution of the 8th day of August 1978; and

(b) what part of the said account remains undistributed but still subject to the said resolution.

and hereby further orders that a sealed copy of this order be registered with the Registrar of Companies; and hereby further orders that notice of registration of this order with the Registrar of Companies be published once in the New Zealand Gazette, and hereby further orders that no minute as referred to in section 78 of the Companies Act is required, and accordingly no minute need be produced to the Registrar of Companies or registered.

PORIRUA CITY COUNCIL

NOTICE OF INTENTION TO CHANGE PURPOSE FOR WHICH LAND HELD

NOTICE is hereby given, pursuant to section 20 of the Public Works Amendment Act 1952, that the Porirua City Council desires to change the purpose for which the pieces of land described in the Schedule hereto were acquired by it pursuant to the Public Works Act 1928; namely, the purpose of housing to another purpose for which it is authorised to acquire land under the said Public Works Act 1928; namely the purpose of a museum.

All persons affected are required to set forth in writing any objection to the proposed change of purpose and to send the written objection to the council within forty (40) days from the 8th day of September 1978, being the date of the first publication of this notice.

SCHEDULE

WELLINGTON LAND DISTRICT

ALL that piece of land containing thirty-three decimal two perches (0a. 0r. 33.2p.), more or less, situated in Ngatitoa Street in the City of Porirua, and being all of Section 96A, Takapuwahia Township, being part of the land more particularly described as Lots 1, 2, and 3 on Deposited Plan 30292, and also being part of the land contained in certificates of title, Volume 7A, folio 275, Volume 7A, folio 276, and Volume 7A, folio 277 (Wellington Registry), together with part Section 96A, being the balance of the land in Proclamation 774939.

NOTICE OF INTENTION TO TAKE LAND

IN the matter of the Public Works Act 1928, and in the matter of the Local Government Act 1974 and its amendments, and of the Town Planning Act 1977 and its amendments:

NOTICE is hereby given that the HENDERSON BOROUGH COUNCIL proposes under the provisions of the above-mentioned Acts to take the land in the Schedule for a recreation and community centre and for community and civic purposes in accordance with the designations of the land in the Second Reviewed District Scheme for the Borough of Henderson.

Every person affected by the taking of the land is called upon to set forth in writing any objection to the taking he may wish to make, not being an objection to the amount or payment of compensation, and to send the written objection within 40 days after the first publication of this notice to the Town and Country Planning Appeal Board.

If any objection is made a public hearing of the objection will be held unless the objector otherwise requires. Each objector will be advised of the time and place of the hearing.

SCHEDULE

ALL that piece of land situate at Ratanui Street, Henderson, and known as the Athletic Club Ground, containing five acres two roods thirty-five Decimal five perches (5A.2R.35.5P.) more or less, being part Allotment 7 of the Parish of Waipareira, and being the whole of the land comprised and described in certificate of title, Volume 2C, folio 1325 (North Auckland Registry).
