NOTICE is hereby given that the following orders of the Supreme Court of New Zealand, dated the 4th day of May 1978, were registered by the Registrar of Companies on the 5th day of May 1978:

That the sum of $1,540,000, being part of the moneys standing to the credit of the share premium account in the books of the applicant company as at the 30th day of September 1977, may be distributed to the holders from time to time, of the ordinary shares in the capital of the applicant company.

That subject to due compliance with the provisions of Article 115n of the Articles of Association of the applicant company, the distribution of the amount mentioned above may be effected at such times, at such intervals, and by a series of payments of such amounts as the directors of the applicant company may from time to time determine, subject, however to the provisions of Article 115A of the Articles of Association of the applicant company to the holders from time to time, of the ordinary shares in the capital of the applicant company, divided rateably in proportion to the amounts paid up on the ordinary shares held by them, but so that any amount so distributed shall be in substitution for, and not in addition to, any dividend payable out of profits which might otherwise be payable.

That paragraph (b) of the special resolution passed by the applicant company on the 22nd day of November 1977, in terms of which the order referred to under number 2 above is stated, and Article 115n of the Articles of Association of the applicant company, may not be varied without the prior approval of the Honourable Court.
